LEGAL TERMS AND CONDITIONS FOR PARTICIPATION IN THE DRAW – “THINKZ DRAW – NOVEMBER 2025”
1. ORGANIZING COMPANY OF THE DRAW.
The company THINKZ IOT FRANCE, SAS (hereinafter, “THINKZ”), with registered office at 40 Rue du Japon, 31400 Toulouse, France, and tax identification number (SIREN) 932 283 161 (hereinafter, the “Organizing Company”), is organizing a draw (hereinafter, the “Draw”) to promote and publicize its platform services and capabilities applied to the management and development of cities in Europe (hereinafter, the “Services”), which shall be governed by the following legal terms and conditions (hereinafter, the “Terms and Conditions”).
2. PURPOSE.
The purpose of this Draw is to promote and publicize THINKZ’s Services through a promotional activity to be held in person at THINKZ’s stand during the Smart Cities Expo World Congress, to be held in Barcelona, Spain, at the Fira Barcelona Gran Via, from the 4th to the 6th of November 2025 (hereinafter the “Event”).
These Terms and Conditions will be publicly and freely available on the website https://thinkz.ai/, where they may be consulted by any interested party throughout the entire Draw Period.
Participation in this Draw is completely free of charge and shall not, under any circumstances, be subject to the purchase of products, the contracting of services, or the payment of any amount by the participants.
The Organizing Company shall not require any economic or commercial consideration for registration or participation in the Draw, nor the possession of any proof of purchase, invoice, or receipt.
These Terms and Conditions do not require notarization, as this is a free promotional draw with no monetary consideration involved.
3. TERRITORIAL SCOPE.
Participation in the Draw will take place in person at THINKZ’s booth at the Event, in accordance with the procedure described in clause 5.2.
4. START AND END DATES.
The participation in the Draw will commence on November 4th, 2025, at 09:00 and end on November 6th,2025 at 16:00 (hereinafter, the “Draw Period”). The Organizing Company reserves the right not to carry out the Draw if, at the end of the Draw Period, fewer than fifty (50) participants have registered.
5. ELIGIBILITY AND DRAW MECHANICS.
5.1 – Eligibility.
Eligible to participate in the Draw are individuals (natural persons) of legal age (18 or over), personally attending the Event, who are employed by a municipal authority or a municipally owned entity of any European city (hereinafter, the “Participants”).
Participation entails the full, express, and unconditional acceptance of these Terms and Conditions.
5.2 – Mechanics.
Participants may enter the Draw at THINKZ’s booth at the Event. To participate in the Draw, Participants must complete the following actions:
- Completing the information required for participation through:
- Delivering their Event badge at the booth in order to have it scanned to obtain all their contact details – which must necessarily include their corporate/business email address; or
- Scanning the QR code displayed at the booth, which will redirect the Participants to a short form in which they must complete their details, including, mandatorily, their corporate or business email address.”
Once the Participants have completed the required actions, they will be automatically entered into the Draw and will be eligible to win the prize (as defined in clause 7.2 of these Terms and Conditions).
The Organizing Company reserves the right to disqualify or remove Participants who provide false or incorrect contact details.
6. PUBLICITY.
Participants authorize the Organizing Company to publicly disclose the results of the Draw.
7. SELECTION OF THE WINNER OF THE DRAW AND PRIZE.
7.1 – Selection
Once the Draw Period has ended, participation in the Draw will be closed and, within a maximum period of five (5) days, the prize will be assigned to the winner.
One (1) Winner (hereinafter, the “Winner”) will be selected at random from among the Participants in the Draw using the platform Randomizer (https://randraw.com/) that is external and independent from the Organizing Company, thereby ensuring the impartiality of the Draw.
The Winner will be notified, within a maximum period of two (2) days following their selection, via an informational email sent to the Participants in the Draw, together with the certificate of validity of the Draw.
Within a maximum period of seven (7) days from the date on which the communication of the Draw result is sent to the Winner, the Winner must reply to the email sent by the Organizing Company to accept the Prize and provide the postal address for delivery. The Organizing Company reserves the right to request a copy of the Winner’s DNI/NIE/Passport as proof of address, identity, and age.
If the Winner fails to respond to the Organizing Company’s email within the stated period, the Organizing Company reserves the right not to deliver the Prize, declaring the Draw as “null and void.”
7.2 – Prize
The prize consists of an iPhone 17 Pro 256GB (hereinafter, the “Prize”).
The Prize is personal and non-transferable. Therefore, if the Winner is unable or unwilling to accept it, or renounces it, they will irrevocably forfeit their right to the Prize.
The Prize cannot be exchanged for cash or any other prize and cannot be altered or substituted at the Participant’s request.
Apple Inc. does not sponsor, endorse, or administer this Draw organized by the Organizing Company, nor is it associated with it in any way. Therefore, Participants shall have no connection whatsoever with said entity.
The Participants acknowledges that Apple Inc. is entirely independent from the Organizing Company and, consequently, the Organizing Company shall not be held liable for any malfunction, unavailability, or any other incident related to Apple Inc.’s products or services that may affect the normal operation of the Draw for reasons beyond its control.
7.3 – Prize Delivery
The Prize will be delivered to the address provided by the Winner within a maximum period of thirty (30) days from the date the Organizing Company is informed of the delivery address.
The Organizing Company shall not be held liable in the event of any error in the information provided by the Winner that prevents their identification, contact, delivery, or enjoyment of the Prize.
7.4 – Tax and Fiscal Obligations
The Organizing Company shall not be responsible for any additional expenses that the Winner may incur in order to enjoy the Prize, nor for any taxes, fees, or charges of any kind that may arise from the acceptance or enjoyment of the Prize.
It is the sole responsibility of the Winner to inform themselves, seek advice, and comply with any fiscal or tax obligations that may apply to them under the laws of their country of tax residence or any other competent jurisdiction.
The Organizing Company is expressly released from any liability arising from the Winner’s failure to comply with such obligations and shall in no case be responsible for the payment, management, or declaration of taxes that are not legally their responsibility.
7.5 – Affiliated Persons
The participation of any individuals who have an employment or professional relationship with the Organizing Company, as well as their direct relatives, is expressly excluded. Likewise, collaborators or third parties involved, whether directly or indirectly, in the organization, management, or implementation of the Draw shall not be eligible to participate.
8. DISQUALIFICATIONS AND/OR FRADULENT PARTICIPATION
In the event that the Organizing Company or any entity professionally associated with this Draw detects:
- any of the Participants does not meet the requirements set forth in these Legal Terms, or that the information provided to participate is invalid,
- any anomaly or suspects that a Participant is preventing the normal conduct of the Draw by unlawfully altering their registration through any technical or computerized means in order to falsify the results,
their participation shall be considered null and void, and they will be automatically excluded from the Draw, losing all rights to the Prize awarded under the Draw.
In this regard, the Organizing Company has implemented the necessary technological measures to detect any potential fraudulent, anomalous, or intentional actions aimed at altering participation in this Draw in order to obtain the Prize illicitly. Therefore, the Organizing Company reserves the right to remove from the registry any Participant who demonstrates, or is suspected of, irregular conduct as described above.
In the event that fraudulent use of the Draw is detected, the Organizing Company may modify these Legal Terms in those provisions that are necessary to ensure the proper functioning of the Draw.
9. LIMITATION OF LIABILITY
By way of example, but not limitation, the Organizing Company shall not be held responsible for any incidents beyond its control that may affect the development of this Draw, nor for the use Participants make of the Prize obtained.
In particular, the Organizing Company shall not assume any liability for any loss, damage, or theft that may occur during the transport or delivery of the Prize, as such transport shall be carried out at the risk and expense of the courier company or the recipient.
Furthermore, the Organizing Company shall not assume responsibility in cases of force majeure or unforeseen events that may prevent the execution of the Draw or the full or partial enjoyment of the Prize. Should the Draw be unable to take place, whether due to detected fraud, technical errors, or any other reason beyond the control of the Organizing Company affecting the normal conduct of the Draw, the Organizing Company reserves the right to cancel, modify, or suspend it.
10. DATA PROTECTION AND COMMERCIAL PURPOSES.
The Organizing Company is responsible for processing the personal data of the Participants.
The collection of personal data from Participants for this Draw is mandatory under the terms set forth in these Legal Terms and Conditions.
The personal data provided by Participants will be treated confidentially and included in an automated personal data file owned and managed by the Organizing Company, which expressly declares compliance with the applicable data protection regulations.
In this regard, and in accordance with the provisions of Regulation (EU) 2016/679 of 27 April (GDPR), concerning the protection of natural persons with regard to the processing of personal data, and Organic Law 3/2018 of 5 December, on the Protection of Personal Data and Guarantee of Digital Rights, the Organizing Company hereby declares the following:
- Purposes of Processing:
- To manage and carry out the Draw, including the communication of the Winner and delivery of the Prize.
- Commercial and promotional purposes of the Organizing Company, such as sending information about its products, services, and activities, based on the express consent granted by the Participants through the acceptance of the legal terms of (i) these Draw and (ii) the Event. In particular, in accordance with the event’s privacy policies, it is hereby stated that by allowing the staff of the various exhibition stands to scan their badge, the Participants expressly consents to the professional information contained therein being used for commercial and promotional purposes.
- Legal Basis for Processing:
The legal basis for processing personal data is the Participant’s consent, pursuant to Article 6(1)(a) of the GDPR.
- Recipients and International Transfers: Personal data will not be shared with third parties, except where required by law or for the management of the Draw. Should data be processed or stored on servers located outside the European Economic Area, the Organizing Company will ensure that appropriate safeguards are in place in accordance with Articles 44 et seq. of the GDPR, including the use of Standard Contractual Clauses approved by the European Commission.
- Data Retention Period:
Personal data collected will be retained for as long as necessary to fulfil the stated purposes and subsequently for the legally required retention periods.
- Participants’ Rights:
Participants may exercise their rights of access, rectification, erasure, objection, restriction of processing, and data portability at any time by writing to the postal address 40 rue du Japon, 31400 Toulouse (France) or by email at info@thinkz.ai, indicating the reference “Data Protection – THINKZ Draw”.
Acceptance of these Legal Terms and Conditions is unconditional and subject to the sole discretion of the Organizing Company regarding the resolution of any matter arising therefrom.
The claim period for any issue or incident related to the Draw will expire one (1) month after the end of the Draw Period.
By merely participating in the Draw, the Organizing Company reserves the right to use the Winner’s full name and city of employment in connection with any activities related to the Prize (essentially, to inform all Participants of the Winner’s identity) for advertising or disclosure purposes, without any right to payment or compensation. The Winner expressly authorizes the Organizing Company to publicly disclose their full name and city of employment for the purpose of announcing the Draw result and delivering the Prize. Refusal to accept this condition will automatically result in forfeiture of the Prize.
Any matter not provided for in these Legal Terms and Conditions shall be resolved by the Organizing Company at its sole discretion, without prejudice to the rights granted to Participants under the applicable law.
11. CHANGES AND ACCEPTANCE.
The Organizing Company reserves the right to modify or expand these Legal Terms, provided that such modifications do not prejudice or undermine the rights of the Participants in the Draw. The Organizing Company reserves the right to make any modifications it deems necessary, appropriate, or convenient, including the cancellation of the Draw during the Draw Period, by sending an informational email to all Participants.
12. APPLICABLE LAW AND JURISDICTION
These Legal Terms shall be governed by Spanish law.
Any disputes shall be submitted to the courts of the domicile of the participating individuals making the claim.

14. PREVALENCE OF LANGUAGE.
The present Terms and Conditions have been drafted in a bilingual format, in Spanish and English, with both versions being considered authentic and valid. However, in the event of any conflict, discrepancy, or ambiguity in interpretation between the Spanish and English versions, the Spanish version shall prevail.
